Terms of service
The agreement between you and MLJ, SASU when you use WordRate. Written to be read once, in plain sentences, by someone who bills by the word.

1. Acceptance of these terms
By creating a WordRate account, by subscribing to any plan, or by using the service on behalf of a business, you agree to these terms. If you are accepting on behalf of a language service provider or another company, you confirm that you have the authority to bind that company, and the word you in this document then means that company. If you do not agree with something here, do not subscribe, and write to us instead: we would rather discuss a clause than have you sign around it.
2. What the service is
WordRate is a web application for quoting translation work and keeping the reference material that goes with it. It counts source or target words, characters and standard lines, reads analysis exports produced by tools such as Trados Studio, memoQ, Wordfast and Phrase, applies the rate cards you store for each client and language pair, and produces a quote you can send. It also stores client glossaries, do not translate lists and style notes, and tracks accepted work on a delivery board with due dates and purchase order numbers.
WordRate is not a computer assisted translation tool, it does not segment or translate text, it does not host translation memories, and it is not an accounting package or a tax filing service. It does not give legal, tax or pricing advice: the rates in your rate cards are the ones you decide and negotiate.
3. Eligibility and your account
You must be at least eighteen years old and able to enter a binding contract. You are responsible for the accuracy of your account details, for keeping your credentials confidential, and for everything done under your login. On the Language Agency plan you may invite up to five project manager seats, and you remain responsible for what those users do. 4. Acceptable use
Use WordRate for your own translation and localization business. Do not attempt to breach or probe the security of the service, do not scrape it in bulk, do not resell access under another name, and do not upload material you have no right to hold, including client documents covered by a confidentiality agreement that forbids third party storage. Do not upload malicious files. We may suspend an account that is putting the service or other customers at risk, and where we do we will tell you why and give you a route to fix it whenever the situation allows.
5. Subscriptions, prices and billing
WordRate is sold on three monthly plans in United States dollars: Freelance at $15 per month, Busy Freelance at $39 per month and Language Agency at $99 per month. Prices are shown excluding any sales tax or value added tax that we are required to charge in your jurisdiction, which is added to your invoice where it applies. Each plan renews automatically each month on the anniversary of your first payment until you cancel. Payment is taken by card through our payment provider; we do not store your full card number on our systems.
If you change plans mid month, the new plan takes effect immediately and the difference is prorated on the following invoice. If a payment fails, we retry it and email you, and access continues for seven days before the account moves to read only mode. Prices may change with at least thirty days written notice sent to your account email address; a price change never applies to a month you have already paid for, and you may cancel before it takes effect.
6. Cancellation and refunds
You can cancel at any time from your account settings without contacting anyone. Your subscription then runs until the end of the month you have already paid for, after which you are not billed again. We do not prorate refunds for a partial month, with one exception: if the service was materially unavailable for more than twenty four consecutive hours in a billing month, write to us and we will refund that month in full. After cancellation your account stays in read only mode for sixty days so you can export your data, and it is then deleted.
7. Your data belongs to you
Rate cards, client records, glossaries, quotes, project records and any documents you upload for counting remain yours. We claim no ownership over them and we grant ourselves only the narrow license needed to store, process and display them so the service can work for you. We do not use your content to train machine learning models, we do not share it between accounts, and we do not sell it. You can export glossaries and rate cards to CSV or TBX and quote history to CSV at any time, including during the read only period after cancellation. Source documents uploaded for word counting are deleted seven days after processing.
8. Availability and support
We target 99.9 percent monthly availability outside announced maintenance, and maintenance windows are published at least forty eight hours ahead and scheduled for weekends where possible. Support is by email in English or French. We aim to answer within one business day on Freelance and within four business hours on Busy Freelance and Language Agency, and the Language Agency plan includes an onboarding session and a named contact.
9. Warranties and disclaimer
We warrant that we will provide the service with reasonable skill and care, and that pricing calculations will follow the rate cards you configure. Beyond that, the service is provided as it is, without further warranty of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non infringement. You remain responsible for reviewing every quote before you send it to a client and for the commercial terms you agree with that client.
10. Limitation of liability
To the extent permitted by law, neither party is liable for indirect or consequential loss, including lost profits, lost business opportunities, loss of goodwill or the cost of substitute services. Our total liability arising out of or relating to these terms in any twelve month period is limited to the amount you paid us for the service in the twelve months before the event giving rise to the claim. Nothing here excludes liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be excluded.
11. Indemnity
You agree to indemnify MLJ, SASU against third party claims arising from content you upload in breach of section 4, from your use of the service in breach of these terms, or from your breach of an obligation owed to one of your own clients. We will tell you promptly about any such claim, let you control the defense where the law allows it, and cooperate reasonably at your expense.
12. Changes to these terms
We may update these terms as the product changes or the law requires. Material changes are announced by email to your account address at least thirty days before they take effect, and the updated date at the top of this page always shows the current version. If you continue to use WordRate after a change takes effect you accept it; if you would rather not, cancel before that date and the old terms govern your final month.
13. Governing law and contact
These terms are governed by French law. Any dispute that cannot be settled amicably will be brought before the competent courts of Paris, France. If you are a consumer, mandatory protections of your country of residence still apply, and nothing here removes rights that cannot be removed under applicable United States federal or state law.
